You do not need a 40-page governance manual to run AI responsibly in a small business. Governance at SME scale is about three things: being clear on who owns what, being explicit about what is and is not permitted, and having a regular checkpoint that does not get cancelled when other things are busy.

The businesses that get into difficulty with AI are rarely the ones using sophisticated tools. They are the ones using simple tools without any ownership structure. When something goes wrong and nobody is sure who is responsible, the response is slow and the damage compounds. When ownership is explicit, problems surface faster and get fixed before they escalate.

This template covers the minimum viable governance structure for a small business using AI in live workflows. Adapt it to your context, keep it short enough that people actually use it, and give it a named owner who is accountable for keeping it current.

The main reason governance fails at SME scale is not a lack of intent. It is that the document ends up too long, owned by no one in practice, and reviewed once before being filed and forgotten. Good governance for a small business needs to be short enough that people actually read it, clear enough that a new employee understands it on day one, and maintained by someone who has it on their calendar rather than their conscience.

Policy scope

Before you write a single clause, define what this policy actually covers. Without a clear scope, you will write something too vague to be useful, or spend time covering situations that do not apply to your business.

State explicitly: which AI tools are in scope, which teams use them, and which workflows they are used for. If external contractors have access to your AI tools or can input company data into their own, they are in scope too. The scope section does not need to be long. It needs to be specific enough that, if a member of staff is unsure whether something is covered, they can check and get a clear answer.

Minimum policy clauses

Each clause below covers an area where ambiguity causes real problems. The goal is not a comprehensive legal document. It is clarity on the decisions that matter most.

  • Approved and prohibited use cases. A list of what the business has reviewed and sanctioned, and a short list of what is explicitly off limits. "No personal health data in AI tools" is more useful than a general instruction to "use AI responsibly."
  • Data handling standards and escalation triggers. What data categories can go into AI tools, what requires approval before use, and who to contact if something unexpected comes up. Escalation triggers should be concrete: "any prompt that includes customer financial details" rather than "sensitive data."
  • Human review requirements. Any AI output that feeds into a decision affecting a customer or employee needs a defined review step. Be specific about who reviews, at what point in the workflow, and what they are looking for.
  • Security controls, access roles, and logging. How accounts are provisioned, who can access what, and what logging is in place. This does not need to be technical. It needs to be clear enough that the person responsible for setting up a new staff member knows what to do.
  • Incident response ownership and timeline. If an AI tool produces a serious error, sends incorrect information to a client, or causes a data incident, who finds out first, what do they do, and in what timeframe? Write the answer down before you need it.
  • Quarterly review and re-approval cadence. The policy has a named owner, a review date, and a version number. When it is reviewed, the outcome is documented. This is what turns a governance document into a live control rather than a historical artefact.

Simple role matrix

The most common governance problem in small businesses is that accountability is shared, which means in practice it belongs to no one. Every AI workflow should have one person who owns the outcome. Not a committee. One person.

Executive owner

Accountable for risk decisions, policy approval, and any decision to stop or modify an AI workflow. In most SMEs this is the MD or business owner. They do not need to be technically involved. They need to be reachable when a judgment call is needed and willing to make it.

Workflow owner

Accountable for quality thresholds, day-to-day process integrity, and flagging issues to the executive owner. This is the person closest to the actual work. They know when the tool is producing unreliable output, when the process has changed in ways the policy does not reflect, and when something needs escalating.

Technical owner

Accountable for integrations, access controls, API keys, and vendor relationships. In a small business this is often the same person as the workflow owner, which is fine. What matters is that someone is responsible for the technical configuration and knows what to do when it needs to change.

When ownership is vague, mistakes become cultural. When ownership is explicit, mistakes become fixable.

Operational cadence

A governance structure that is not reviewed regularly becomes fiction. Keep it live with a simple cadence:

  • Weekly: workflow owners flag any issues, errors, or near-misses in AI outputs from the past week. Five minutes in a team stand-up is sufficient.
  • Monthly: executive owner reviews performance metrics and costs against targets. Any use cases that are underperforming or overrunning go into a decision log.
  • Quarterly: full policy review. Update the approved use case list, review any incidents, check supplier terms for changes, and version the document. Record who attended and what changed.

What to include in the approved use case list

Every AI workflow your business uses should be on a list, not because bureaucracy is valuable for its own sake, but because an explicit list tells new staff what is sanctioned, tells your auditors what you have reviewed, and gives you a baseline when you need to tighten or relax controls.

For each use case, record: the tool, the workflow it supports, the data categories it touches, who approved it, and when it was last reviewed. A simple spreadsheet with these five columns is sufficient. It does not need to be more complicated than that.
